For more than 30 years, he has been the principal attorney of his own firm, Law Offices of Lawrence F. DiGiovanna, in a practice focusing in the area of cooperative and condominium law representing developers before the New York State Office of the Attorney General, and as General Counsel to cooperative apartment corporations and condominium associations. His practice includes litigation related to real estate and cooperative and condominium law issues. The firm represents clients in all varieties of residential and commercial real estate transactions.
In its representation of cooperative housing corporations, the firm provides general corporate legal advice to cooperatives’ boards of directors including interpretation and amendment of corporate by-laws and proprietary leases, representation at annual and special shareholder meetings, disputes between shareholders and boards, review of contracts with major vendors, and related services. In addition, the firm acts as transfer agent for sales of the stock and lease appurtenant to apartments and represents its cooperative clients in the refinancing of shareholders’ cooperative loans. It also represents its cooperative corporation clients in the refinancing of their underlying mortgages. When shareholders become delinquent in maintenance payments, the firm handles the collection and foreclosure process. Proprietary lease violations such as excessive noise and objectionable conduct are also referred to the firm for resolution. The firm has conducted “Pullman” proceedings on behalf of its cooperative clients.
Similarly, on behalf of its condominium association clients, the firm provides advice to boards of managers concerning its governing documents (declaration and by-laws) and attends unit owner meetings. It also prosecutes claims for unpaid common charges and assessments.
Mr. DiGiovanna has been drafting cooperative and condominium offering plans on behalf of developers and residential building owners since 1978. He has worked with the Office of the New York State Attorney General’s Office, Department of Law, Real Estate Finance Bureau, since that time with the submission and acceptance of over 100 plans for filing. His work on behalf of developers has also included defense before the Department of Law of claims for defective construction and other sponsor violations and mediation of those claims. He also defends litigation on behalf of those sponsors in the New York State Supreme Court.
Mr. DiGiovanna has also handled other real estate litigation including boundary line disputes, easement violation claims, co-owner disputes, partition actions and foreclosures.
